Within the Strategy and Transaction (SaT) service line, Transaction Diligence (TD) focuses on the strategic development and execution of transaction structures. This involves financial due diligence, IPOs, and restructuring of banking loans. Our team meticulously analyzes profit drivers, challenges future performance assumptions, and assists with purchase agreements and post-closing transaction matters. We provide both buy-side and sell-side diligence services to help clients maximize value, mitigate risks, and achieve their strategic goals in acquisition and divestiture deals.
The Opportunity
We are seeking a Senior Analyst with expertise in Financial Due Diligence, external audit experience with a public accounting firm, and/or mergers and acquisitions transaction experience. Prior experience in financial planning and analysis or statutory accounting is also valuable for our TD team. Your Key Responsibilities
- Support and lead complex and critical EY client due diligence engagements.
- Analyze the financial and operational results of target companies, particularly within the financial services sector, by reviewing accounting records and conducting management interviews.
- Prepare and evaluate pro forma financial information.
- Identify potential issues impacting purchase price, deal structuring, or deal termination.
- Outline post-acquisition steps to achieve anticipated earnings and cash flow improvements.
- Assess the impact of seasonality and cyclicality on cash flow requirements.
- Conduct industry and organization research.
- Review the work performed by staff and senior employees.
- Conduct timely performance reviews for staff and senior employees.
Skills and Attributes for Success
- Relevant external audit experience with a public accounting firm and/or mergers and acquisitions transaction experience, or experience in financial planning and analysis and statutory accounting.
- Strong analytical and interpersonal skills.
- Proficiency in analyzing key ratios, income statements, balance sheets, and capital requirements for companies in the financial services sector, including Insurance Aggregators, Asset Management, and/or Banking.
- Effective written and verbal communication skills.
- A strong drive to initiate new ideas and the ability to adapt to new challenges and concepts.
- Advanced knowledge and experience in financial services sectors will be a significant advantage.
- Excellent analytical, communication, organizational, interpersonal, and teaming skills.
To Qualify for the Role, You Must Have
- A CPA, Chartered Accountancy degree, or MBA in Finance from a premier institution with 1-3 years of experience.
- Relevant experience in Financial Due Diligence (FDD) or external audit with a public accounting firm, and/or mergers and acquisitions transaction experience, or experience in financial planning and analysis and statutory accounting.
